J&C Aero (J&C), an aircraft cabin interior specialist based in Europe, has sold a majority stake in the company to Setna iO (Setna), a full-service global aviation network headquartered in Chicago, USA that specialises in used serviceable material, trading, repair services, and asset leasing. Completion of the transaction is planned for Q2 2026, subject to customary regulatory approvals.
According to J&C the transaction results in more of a partnership than a takeover, with continuity of leadership, and support for its next phase of growth. J&C’s partnership with Setna will enable the company to expand beyond its European home markets, broaden its service capabilities, and strengthen its international footprint.
For Setna the deal enables it to further diversify its portfolio and grow its industrial platform through investment in an aerospace business with strong lifecycle revenues and established OEM and aftermarket positioning.
Under the new ownership structure, the five founders of J&C will retain significant equity and continue to lead day-to-day operations, working towards long-term growth driven by Setna’s capabilities.
Laurynas Skukauskas, CEO of J&C Aero, stated that the partnership is designed to strengthen rather than alter the company’s trajectory: “Together, we see clear opportunities to expand internationally and continue developing our capabilities, while keeping the same team and approach that brought us here.”
J&C Aero holds multiple regulatory approvals, including EASA Part 21J Design, Part 21G Production, Part 145 Maintenance, and Part CAMO. The company operates more than 9,000 square metres of facilities and is supported by a team of 240 specialists and industry experts.
For Setna, the acquisition represents an expansion into certified aerospace design, production, and maintenance capabilities in Europe, strengthening its lifecycle offering.
